CodeBitel Messaging – Terms of Service
Effective Date: Nov 2, 2026 · CodeBitel (codebitel.com)
1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of CodeBitel Messaging, located at wa.codebitel.com, along with our Meta application "CodeBitel Messaging", APIs, tools, and related services (collectively, the "Platform" or "Service"), operated by CodeBitel ("we", "us", or "our").
By creating an account, connecting a WhatsApp Business number, or otherwise accessing the Service, you ("Client", "User", or "you") agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
2. Description of the Service
CodeBitel Messaging is a cloud-based communication platform that enables businesses to manage customer conversations, template messages, automated replies, and messaging campaigns using Meta's WhatsApp Business Platform (Cloud API). The platform is available for CodeBitel's internal communications and for external businesses that set up their own workspaces.
3. Account Registration & Security
To use the Service, you must register an account and maintain accurate, current information. You are solely responsible for safeguarding your login credentials and for all activities that occur under your account or workspace. You must notify us immediately at [email protected] if you suspect any unauthorized access to your account.
4. Compliance with Meta & WhatsApp Policies
Because the Platform connects directly to Meta's WhatsApp Business Platform, you must strictly comply with all Meta policies, including but not limited to:
- WhatsApp Business Messaging Policy
- WhatsApp Business Terms of Service
- Meta Platform Terms and Developer Policies
Specific Messaging Requirements:
- Verifiable Opt-In: You may only initiate messages to individuals ("contacts") who have provided explicit, verifiable consent to receive WhatsApp messages from your business. You must accurately record and store the source and timestamp of every opt-in.
- Immediate Opt-Out Respect: If a contact replies with STOP, UNSUBSCRIBE, or OPT OUT, you must not send further automated or promotional messages. The platform automatically suppresses messages to opted-out contacts, and you agree not to attempt to circumvent this mechanism.
- Template Approvals: All business-initiated messages must use templates reviewed and approved by Meta. Free-form messaging is strictly confined to the 24-hour customer service window following the contact's last inbound message.
- Human Escalation: Automated reply flows must always provide contacts with a clear, functional way to reach a human agent.
5. Acceptable Use & Prohibited Content
You agree not to use the Service to transmit, store, or promote any content that is unlawful, harmful, deceptive, or prohibited by WhatsApp policies. Prohibited uses include, but are not limited to:
- Sending spam, unsolicited bulk messages, or abusive communications;
- Promoting illegal goods or services, adult content, gambling, firearms, non-certified pharmaceuticals, predatory lending, multi-level marketing (MLM), or cryptocurrency schemes;
- Impersonating another person, business, or entity;
- Requesting or collecting sensitive personal data, such as full credit/debit card details, bank account credentials, government-issued identification numbers, passwords, or protected health information;
- Interfering with, disrupting, or attempting to compromise the security or integrity of the Platform or underlying infrastructure.
6. Data Protection & Deletion
Our collection, processing, and handling of personal data are governed by our Privacy Policy. In summary:
- For contact data and messages stored in your workspace, you act as the Data Controller, and CodeBitel acts as the Data Processor under your instructions.
- You are responsible for ensuring that you have obtained all necessary consents and legal bases required under applicable data protection legislation (such as GDPR and India's DPDP Act 2023).
- Any contact wishing to delete their information may do so according to our User Data Deletion Instructions, and you agree to cooperate in fulfilling such requests.
7. Fees, Third-Party Costs & Taxes
Access to CodeBitel Messaging may be subject to subscription or usage fees as agreed in your service plan. You are responsible for any charges imposed directly by Meta for WhatsApp Business conversations (e.g., utility, marketing, service conversation charges), as well as any applicable telecommunication charges and taxes.
8. Suspension & Termination
We reserve the right to suspend or terminate your workspace or account, with or without notice, if:
- You breach these Terms or any WhatsApp/Meta messaging policies;
- Your WhatsApp phone number receives excessive spam reports, blocks, or a degraded quality rating from Meta;
- Required by law, court order, or Meta instruction;
- You engage in fraudulent, harmful, or abusive behavior.
Upon termination, your right to use the Platform ceases immediately, stored WhatsApp access tokens will be deleted, and workspace data will be purged in accordance with our retention policy.
9. Disclaimers & Limitation of Liability
Provided "As Is": The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
Third-Party Dependency: Message delivery depends upon third-party platforms, including Meta's WhatsApp Cloud API and mobile telecommunication carriers. We do not guarantee uninterrupted availability, error-free operation, or that every message will be delivered successfully.
Limitation of Liability: To the maximum extent permitted by applicable law, CodeBitel shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for loss of profits, revenues, data, or business opportunities arising out of or related to your use of the Service.
10. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Dehradun / Uttarakhand, India.
11. Modifications to Terms
We may update these Terms from time to time to reflect changes in our services, technology, or applicable laws. When material changes are made, we will notify registered workspace owners via email or through the Platform prior to the change taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
